Dropbox changes only the part of the file that is changed while Syncplicity changes the whole file. Not a big deal if you are working on small files but if you have an outlook .pst file or a large database is makes a difference. On the plus for syncplicity, you don't have to have your files in the Dropbox folder, they can be anywhere on the computer and you don't have to have all files synced on all computers. I found the Syncplicity UI quite confusing and told them so. The Share function via e-mails equally tedious and cumbersome. I expect it is all a matter of emphasis. For me selective sharing is very important as is remote web access. Having tried very many of these products I am now with Spideroak.com....for me, the best so far...but still looking.
